These Website Terms of Use (the “Terms”) govern access to and use of the public Cemerix website at cemerix.com, including its informational pages, contact methods, discovery and pilot-interest features, and related public website content (collectively, the “Website”).
In these Terms, “Cemerix,” “we,” “us,” and “our” refer to Cemerix. “You” and “your” refer to each person or organization that accesses or uses the Website.
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
1. About Cemerix
Cemerix is a founder-led, pre-product technology startup researching and developing a system for organizing, supporting, and sharing professional capability through projects, contributions, evidence, credentials, attestations, permissions, and related professional records.
The Website currently explains the Cemerix concept, mission, founder perspective, intended product direction, discovery activities, and future pilot plans.
Unless Cemerix expressly states otherwise:
- The Cemerix software platform is not yet publicly available;
- Descriptions of future features are product concepts, not promises of current functionality;
- Participation inquiries do not guarantee acceptance into a pilot or future service; and
- Cemerix has not yet published customer results, user metrics, completed pilot results, or production product claims.
Cemerix is not currently offering the Website as a background-check service, consumer reporting service, licensing authority, credential issuer, staffing agency, job board, employment-decision service, or guarantor of any person’s identity, qualifications, competence, work quality, safety, reliability, legal work authorization, or suitability.
2. Who May Use the Website
Anyone may browse publicly available portions of the Website.
You must be at least 13 years old to use the Website. If you are under the age of legal majority where you live, use of any interactive feature should occur with appropriate parent or guardian involvement.
You must be at least 18 years old and have authority to act for yourself or your organization to submit a business, partnership, investor, discovery, professional-interest, employer-interest, or pilot inquiry.
If you use the Website for an organization, you represent that you have authority to provide the submitted information and communicate on the organization’s behalf.
3. Informational Website Only
Website content is provided for general informational purposes.
Nothing on the Website constitutes:
- Legal advice;
- Employment advice;
- Safety advice;
- Licensing advice;
- Financial or investment advice;
- A professional certification;
- A background check;
- A consumer report;
- A hiring recommendation;
- An employment-eligibility determination; or
- A guarantee that a future feature, pilot, product, timeline, or business model will be implemented.
You are responsible for independently evaluating information and obtaining appropriate professional advice.
4. Discovery, Pilot, and Contact Submissions
The Website may allow you to contact Cemerix or express interest in research, discovery interviews, partnerships, investment discussions, or a future pilot.
You agree that information you submit will be accurate to the best of your knowledge and that you will not submit information you are not authorized to provide.
Submitting an inquiry:
- Does not create a customer, employment, partnership, advisory, investment, or fiduciary relationship;
- Does not guarantee a response, interview, pilot invitation, product access, or commercial opportunity;
- Does not establish confidentiality unless Cemerix separately agrees in writing; and
- Does not authorize you to submit another person’s sensitive or confidential information.
Do not submit Social Security numbers, passwords, identity documents, immigration records, financial-account information, medical information, private credential files, confidential project materials, trade secrets, or other sensitive information through general Website forms or email.
5. Acceptable Use
You may not use the Website to:
- Violate any law or legal right;
- Impersonate another person or organization;
- Submit false, deceptive, defamatory, discriminatory, retaliatory, or unlawfully obtained information;
- Interfere with the Website or another person’s use of it;
- Upload malware or malicious code;
- Probe, scan, or test Website security without authorization;
- Circumvent access controls;
- Scrape, harvest, or systematically collect Website data;
- Use bots or automated tools without written permission;
- Infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
- Misrepresent an affiliation with Cemerix;
- Present future Cemerix concepts as currently available services; or
- Use Cemerix content or branding to create a confusingly similar service or false endorsement.
6. Cemerix Intellectual Property
The Website and its content, excluding material owned by third parties, are owned by Cemerix or used with permission and are protected by applicable intellectual-property laws.
Cemerix content may include:
- The Cemerix name and logo;
- Website design and visual identity;
- Text and graphics;
- Product concepts;
- Terminology and taxonomies;
- System diagrams;
- Workflows;
- Documentation;
- Software and source code; and
- Compilations and organization of Website materials.
Cemerix™ and the Cemerix logo are claimed as trademarks. Use of the Website does not grant you ownership of or a license to use Cemerix trademarks except as necessary to refer accurately to Cemerix.
You may not copy, modify, distribute, sell, license, publish, or create derivative commercial products from Cemerix content except with written permission or as permitted by law.
7. Feedback
If you voluntarily provide suggestions, ideas, or feedback about Cemerix, you grant Cemerix a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without restriction or compensation.
This section does not transfer ownership of personal information or materials that you clearly identify as confidential and that Cemerix has separately agreed in writing to treat as confidential.
8. Third-Party Links
The Website may link to third-party services, including LinkedIn or other external websites.
Cemerix does not control those services and is not responsible for their content, availability, security, terms, or privacy practices. Review the third party’s policies before providing information or relying on its content.
9. Privacy
Cemerix’s collection and use of personal information through the current public Website are described in the Cemerix Website Privacy Notice and Cookie and Analytics Disclosure.
10. Changes to the Website
Cemerix may modify, suspend, or discontinue any part of the Website at any time.
Website descriptions of research, pilot plans, future features, expansion paths, or product architecture may change as Cemerix learns from discovery and development.
11. Disclaimers
THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEMERIX DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.
CEMERIX DOES NOT WARRANT THAT:
- WEBSITE CONTENT IS COMPLETE, CURRENT, OR ERROR-FREE;
- THE WEBSITE WILL BE UNINTERRUPTED OR SECURE;
- A FUTURE PRODUCT OR PILOT WILL BE LAUNCHED;
- A PERSON OR ORGANIZATION WILL BE SELECTED FOR DISCOVERY OR PILOT PARTICIPATION; OR
- USE OF THE WEBSITE WILL PRODUCE EMPLOYMENT, INVESTMENT, CONTRACTING, PARTNERSHIP, OR BUSINESS RESULTS.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEMERIX AND ITS FOUNDER, PERSONNEL, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, OPPORTUNITIES, REPUTATION, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE WEBSITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEMERIX’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE WEBSITE WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID CEMERIX FOR THE RELEVANT WEBSITE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS.
These limitations do not apply where liability cannot legally be excluded or limited.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Cemerix and its founder, personnel, and contractors from claims, damages, losses, and reasonable expenses arising from:
- Your unlawful use of the Website;
- Information or material you submit;
- Your violation of these Terms; or
- Your infringement of another person’s rights.
This section does not require you to indemnify Cemerix for Cemerix’s own unlawful conduct.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law principles.
Subject to any legally required alternative forum, disputes arising from these Terms or the Website will be brought in a state or federal court located in Nebraska.
Before filing a lawsuit, the parties agree to make a reasonable good-faith effort to resolve the dispute informally through written notice.
Nothing in these Terms prevents either party from seeking emergency injunctive relief or reporting a matter to a government agency.
15. Changes to These Terms
Cemerix may update these Terms to reflect changes in the Website, business, or law.
When material changes are made, Cemerix will update the Last Updated date and provide additional notice when legally required.
16. General Terms
If a provision of these Terms is held unenforceable, the remaining provisions remain effective.
Cemerix’s failure to enforce a provision is not a waiver.
You may not transfer your rights or obligations under these Terms without Cemerix’s written permission. Cemerix may transfer these Terms in connection with a financing, merger, acquisition, reorganization, or sale of assets.
These Terms, together with the Website Privacy Notice and Cookie and Analytics Disclosure, constitute the agreement governing use of the current public Website.
Future Cemerix software, accounts, professional repositories, pilot participation, or commercial services may be governed by separate terms and agreements.
